SaaS reseller deals: reconcile the vendor's share

By CFO Index · Published

The amount a reseller bills an end customer is not automatically the amount a SaaS vendor is entitled to collect. Channel margins, wholesale terms, fees and settlement timing can sit between those numbers. Start with the agreement that establishes the vendor's share, then connect that entitlement to invoices and cash. This operational worksheet is not a revenue-recognition conclusion or a universal reseller commission model.

Identify the contracting parties and the money route

Write down the software vendor, reseller, marketplace if any, end customer and party responsible for billing each leg. Identify which agreement creates the vendor's entitlement and which party owes it. A referral partner receiving commission is not necessarily a reseller purchasing at wholesale. Record the customer offer, reseller authorisation, currency, term, renewal rules and relevant contract versions. Do not reuse a direct-sale collection model until the channel's actual legal and operational roles are clear.

Create a deal-level entitlement record

Use one row per agreement and billing period. Capture end-customer amount only when available, vendor wholesale amount, authorised margin or discount, fees charged to the vendor, credits, tax treatment, invoice IDs and due dates. Unknown customer resale pricing does not justify inventing it; a confirmed wholesale obligation may still be reconciled independently. Separate a contractual deduction from a payment shortfall. Ask the contract owner to resolve contradictory amendments before finance makes a balancing adjustment.

Reconcile a concrete example

Hypothetical simplified deal: the reseller bills €12,000, retains a €2,000 contractual channel margin, and owes a €10,000 wholesale amount. Assume the agreement also assigns a €300 platform fee to the vendor, leaving €9,700 expected net settlement. A €6,000 matching bank receipt leaves €3,700 outstanding. The amounts and fee allocation are illustrative, not AWS or industry pricing. Taxes, exchange movements and refunds are excluded from this example and must be separately modelled when applicable.

Use platform identifiers to join the right records

AWS Marketplace documentation illustrates why identifiers matter in channel partner private offers: its collections and disbursements reporting distinguishes buyer and wholesale invoice information and includes agreement, offer, resale authorisation and bank-trace fields. Its offer documentation explains the relationship between wholesale cost and reseller offers. These are named-platform examples, not proof that every reseller uses the same workflow. Build the join using the actual platform fields, and preserve the original currency and period so a renewal cannot accidentally match the original sale.

Keep entitlement, collection and disbursement states apart

A signed agreement establishes neither a customer payment nor a bank receipt. A collected customer invoice may still await the vendor's settlement. A disbursement record may be partial or failed. Review each state using the appropriate source; do not infer the full open balance solely from a dashboard focused on disbursements. Distinguish money not yet due from overdue amounts and failed transfers. Record the relevant status date because a later payout can otherwise make an earlier day's cash forecast appear retrospectively correct.

Investigate differences without plugging the bridge

Assign each difference to a specific reason: missing invoice, unapplied credit, disputed wholesale amount, fee allocation, currency conversion, timing or unmatched bank transfer. Give it an owner and next action. If €3,700 remains open, do not label it bad debt, deferred revenue or a channel fee merely to close the report. Those classifications require additional evidence and accounting judgement. Use a separate exchange-rate bridge where the invoice and settlement currencies differ; retain gross amounts and actual conversion charges.

Approve a repeatable channel close

At the month-end review, reconcile opening vendor balances plus new entitlements and approved adjustments minus matched settlements to closing balances. Show unpriced amendments and missing evidence outside confirmed amounts. Ask the accounting owner to determine principal-versus-agent presentation, recognition and tax treatment under the applicable framework and contracts. Acceptance means another reviewer can reproduce the vendor's €9,700 entitlement and €3,700 unresolved cash balance, not merely tie a reseller's headline sales figure to a dashboard.
